The usual business process is as follows:

Stage I - Conception


Most business ideas do not pass this stage. One reason for this is lack or failure of refinement of ideas. We will assist you with refining your ideas. Without refinement, a concept will not see the light of the day.

Stage II - Inception

Transitioning from conception to inception is somewhat of a mystery for most people. The reason? For an effective transition, the concept must be given a proper context. The knowledge of the context requires an extensive background knowledge including the knowledge of the legal system.

Stage III - Maturation

Maturation requires nurturing. This is the most grueling and rewarding part of the business process for most entrepreneurs. And, this process requires a great deal of input and insight of outside experts. We, as business lawyers, will bring such input and insight needed for your business to growth to mature.

Stage IV - Succession

Most businesses do not survive the first generation entrepreneur and end up wasting so much of what has been built. Effective successions will require careful planning well in advance of the event. At the heart of succession is dealing with legal issues.


A Word about Cessation of Business

There will be times when your business may need to cease doing business. In most situations, simply shutting down the business can bring the most devastating consequences. There are effective and  proper ways to cease your business. If necessary, we will assist you in the cessation process.

You must not conduct any business in your personal name. All businesses must be carried out in legal entities most suitable for you and your business.

The most significant reasons for conducting your business in the form of a legal entity are:

One, this is the only way to properly protect your personal or family assets not involved in your business from the reach of the creditors.

Two, this is the only way to properly formalize your business so that others will recognize your business as a "serious" business. And, the all-important branding of your business is enhanced with the use of a legal entity.

Additionally, there are other advantages such as the ability to more easily (1) share ownership interest with others, (2) help raise needed capital and (3) do tax, estate and succession planning.

Running a legal entity, however, requires guidance of a competent corporate lawyer who understands more than the law. The corporate lawyer must be experienced enough to walk together with the corporate clients through every aspect of the business. A corporate lawyer is critical to the operation and management of the business legal entity.
